1. Acceptance of Terms

By accessing or using Modality Studio ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Modality Studio is a software-as-a-service platform that provides event management, CRM, ticketing, form building, campaign orchestration, and analytics tools for producers, venues, artists, and creative brands.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate information when creating an account and promptly update it if it changes.

4. Your Data

You retain ownership of all data you upload or create within Modality Studio. We do not claim intellectual property rights over your content. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.

5. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes or to violate any applicable laws
  • Upload malicious code, spam, or harmful content
  • Attempt to gain unauthorized access to other users' accounts or data
  • Resell or redistribute the Service without our written consent
  • Exceed reasonable usage limits or abuse API endpoints

6. Third-Party Integrations

The Service allows you to connect third-party services (e.g., Mailchimp, Stripe, Klaviyo). Your use of those services is governed by their respective terms. We are not responsible for the availability, accuracy, or policies of third-party services.

7. Payments and Billing

Paid plans are billed in advance on a monthly or annual basis. Refunds are handled on a case-by-case basis. We reserve the right to change pricing with 30 days' notice. Payment processing is handled securely through Stripe.

8. Termination

You may cancel your account at any time. We may suspend or terminate your access if you violate these terms. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow for data export.

9. Limitation of Liability

To the maximum extent permitted by law, Modality Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of data, revenue, or profits.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.
